Terms of Service

1. Acceptance

By accessing or using InstiFlow (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. The Service

InstiFlow is a fee management and collection platform built for Indian coaching institutes. We provide tools to track students, schedule fee dues, record payments, send WhatsApp reminders, and generate receipts.

3. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

The Service is offered on a free tier and paid subscription plans. Paid plans are billed monthly or annually in advance in Indian Rupees (INR). Applicable taxes (including GST, where registered) will be added at checkout. Subscription fees are non-refundable except as expressly stated in Section 5.

5. Cancellation & Refunds

You may cancel a monthly subscription at any time; the cancellation takes effect at the end of the current billing period. For annual subscriptions, you may request a pro-rated refund within 14 days of payment. After 14 days, annual fees are non-refundable.

6. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose;
  • send spam, phishing messages, or unsolicited communications via our WhatsApp or email integrations;
  • attempt to access systems or data you are not authorised to access;
  • reverse-engineer, copy, or resell the Service;
  • upload malicious code or attempt to disrupt the Service.

7. Your Data

You retain ownership of all data you upload to the Service, including student records, payment data, and institute information. You grant us a limited licence to host, process, and display this data solely to provide the Service to you. We process personal data in accordance with our Privacy Policy.

8. Intellectual Property

InstiFlow, its logo, and the Service's software are our property. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

9. Service Availability

We aim to keep the Service available 24×7, but do not guarantee uninterrupted access. We are not liable for downtime caused by maintenance, third-party providers (hosting, payment gateways, WhatsApp providers), or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, InstiFlow's aggregate liability to you for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or goodwill.

11. Termination

You may stop using the Service at any time. We may terminate or suspend your account if you breach these Terms or if the Service is discontinued. On termination, you may export your data for 30 days; thereafter, we may permanently delete it.

12. Governing Law & Disputes

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka. The parties shall first attempt good-faith resolution; failing that, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email and on the Service. Continued use after changes constitutes acceptance.
